新加坡公司全方位由浅入深知识系列-公司名称篇

新加坡公司的知识点充斥着各种媒体，然而很多信息都过时了，有的信息明显有误，百利来希望为大家更新与巩固新加坡公司的正确知识点。

 

基础篇

1.与香港公司不同，新加坡公司没有中文名，只有英文名，私人有限公司名称结尾必须是PTE.LTD，所有英文都必须是大写，不能大小写混合，不能小写。

 

2.与香港公司不同，加上类似Singapore、Group、International这些修饰字号的字眼被视作与纯字号重名，也就是说不能在已经在册的新加坡公司字号后面加上诸如International Group等作为新公司的名称。

3.与香港公司类似，有些公司名称需要特别审批或者前置许可，比普通名字审核需要多14到60天。在下文会详细列出。

 

4.与香港公司不同，新加坡公司可以通过付费预留名称，最长可以保留120天。

 

5.与香港公司类似，除了与在册的和预留的公司名重名外，如果公司名称有不良影响，或者与财政部注册的淡马锡（Temasek）名称相似，或者与知名商标相似的，或者让消费者产生来源误导的名称，都不会被准予注册。

 

进阶篇

 

1.拟用公司名称含有“architect”或者相关词语，除非提交人是注册建筑师。

 

经营范围与编码：

71111 (Architectural services)

 

转介到Board of Architects (BOA) Singapore审批

 

2.拟用名称含有 “RealEstate Agent” 或 "Real Estate Agency"并且从事房产中介业务的。 

 

经营范围与编码：

68201 (Real estate agencies and valuation services) 

68209 (Real estate activities on a fee or contract basis nec.)

 

转介到Council for Estate Agencies (CEA)

 

3.经营范围涉及 “spotcommodity trading” 与/或“rubber” 可能需要Commodity Trading Act (Cap. 48A) (“CTA”)与/或Rubber Industry Act (Cap. 280) (“RIA”)牌照。

 

经营范围与编码: 

66124 (Commodity (excluding gold) and futures brokers and dealers)

 

转介到Enterprise Singapore

 

4.拟用慈善团体名称含有“Foundation”, “International”或“Singapore”。

 

转介到Ministry of Culture, Community and Youth(MCCY) –  Charities Unit  

 

5. 拟用公司名称含有"Military" 或 "Defence"。

 

转介到Ministry of Defence (MINDEF) – DefenceIndustry & Systems Office(DISO)

 

6.拟注册为"school" / "learning centre" / "education centre"/ "training centre", 除了提供"non-academic" 非学术性质的 (如美容护理，理发，厨艺、体育、游戏、驾驶、娱乐相关的业务。

 

 转介到Ministryof Education (MOE) – Private Schools Section

 

名字含有 "Academy","College", "Institute", “Institution","University"; and "National", "Singapore"一般不会获批。

85212 (Junior colleges and centralised pre-university institutes) 

85213 (International and foreign system schools - secondary) 

85214 (Schools for the handicapped and educationally sub-normal -secondary)

7.拟用公司名称含有"Association of Southeast Asian Nations" 或"ASEAN". 

 

转介到Ministry of Foreign Affairs (MFA) – ASEANNational Secretariat, Singapore

 

8.拟用公司名称含有法律相关的名称，如“Law”,“Legal”, “Counsel”, “Chamber”, “Advocate”, “Solicitor”, “Law Corporation”, 或“LLC”。

 

经营范围与编码:

69100 (Legal Activities)

 

转介到Ministry of Law (MinLaw) – LegalServices Regulatory Authority (LSRA)

 

9.拟用公司名称含有

"Bank"或者近似的词语 (如"banking", "banque","banco", "Bancaire”, “Banca” and “Banche”)

"Finance Company" 和 "Finance"

"Futures Exchange","Clearing House" 和 "SecuritiesExchange" 或者类似的，受到the Banking Act (Cap 19), theFinance Companies Act (Cap 108)和the Monetary Authorityof Singapore Act (Cap 186).监管。

 

经营范围与编码:

64120 (Full banks)

64130 (Wholesale Banks)

64120 (Offshore Banks)

64150 (Merchant banks)

64992 (Representative offices of foreign banks)

 

转介到Monetary Authority of Singapore (MAS)

 

10.拟用公司名称含有 “Professional Engineering”, “Professional Engineers” 和“PE”.

 

转介到Professional Engineers Board (PEB)

 

11.拟用公司从事旅游相关的业务

 

转介到Singapore Tourism Board (STB)

 

12.以下三类公司可能在注册前需要先得到前置审批牌照

 

12.1拟用公司名称含有"Accountancy", "Accounting", "Audit",或相关词语

 

需要获得Institute of Singapore CharteredAccountants (ISCA)批准。

  

12.2拟用公司名称或者经营范围含有 “hospital”, “medicalclinic/centre”, “dental clinic/centre”, “surgery”, “medical/clinicallaboratory”, “healthcare establishment” 或相关术语

需要获得Ministry of Health (MOH) 批准。

 

12.3拟用公司名称或者经营范围含有"Co-op" or"Co-operative". 需要获得Registry of Co-operativeSocieties批准。
